Overview
Our attorneys have substantial experience representing educational institutions and nonprofits in real estate matters, including acquisitions, sales and financing, tax exemption status, easements, land use, construction, leasing and joint ventures with for profit developers. We counsel our clients on general real estate issues and specific nonprofit issues such as unrelated business income and governance matters.
Representative Transactions
Represented a college in Brookline, Massachusetts in the leasing of areas of its campus to an international English language institute, to other local colleges and universities for shared dormitories, classroom space and athletic facilities, and to private clubs for use of its athletic facilities including paddle courts.
Represented a college in Brookline, Massachusetts in a construction loan with a regional lender for a new student dormitory on the college campus. This transaction included an intercreditor agreement with the servicer of existing bond financing.
Represented a charter school in Dorchester, Massachusetts in the dissolution of the organization and the sale of its building and assets to another charter school. We negotiated the purchase and sale agreement, attended to closing matters, addressed the buyer’s due diligence and title related concerns, and counseled on compliance with the Commonwealth of Massachusetts’ charter school regulations.
