Overview
Our attorneys have substantial experience in office and industrial properties, including acquisitions, sales, financing, development, operation, and leasing. We advise owners, investors, developers, lenders, businesses, educational institutions, and nonprofits in these transactions.
Representative Transactions
Represented the buyer of office buildings in Dedham, Massachusetts consisting of 22,000 square feet with tenants, including Commonwealth of Massachusetts through its Division of Capital Asset Management and Maintenance (DCAMM) where it operated a courthouse. This project included negotiation of the purchase and sale agreement, attention to due diligence regarding title, lease and zoning issues, and the preparation of the joint venture agreement with limited partners. We also represented the owner in the negotiation of lease renewals, including DCAMM, and sale of the resale of the buildings.
Represented the owner in the sale of the Bank of America office building in Waltham, Massachusetts consisting of 25,000 square feet and containing several tenants. This project included negotiation of the purchase and sale agreement, addressing title matters, and obtaining tenant estoppels and subordination, nondisturbance and attornment agreements, and closing matters.
Represented the owner of a 10-story, 125,000 square foot office building in downtown Portland, Maine in the refinance with a Massachusetts lender. The building tenants include Fisher & Phillips, UNUM, and Key Bank. The project included negotiation of the loan documents, addressing lender’s title concerns, obtaining tenant estoppels and subordination, nondisturbance and attornment agreements, and closing matters.
Represented the owner of an office building in Natick, Massachusetts in the lease of space to Friendly’s Ice Cream LLC as tenant to operate the corporate office of Friendly’s Ice Cream.
Represented the buyer of a mill site in Lawrence, Massachusetts for the development of a medical office building. The project included negotiation of various easements with abutters and advice on a “penstock” water easement through the property held by the Essex Company. We also represented the owner in the resale of the property to a buyer. This transaction including negotiating the purchase and sale agreement, addressing the scope and liability surrounding invasive Phase 2 environmental investigations, a pre-closing leasing arrangement and closing matters.
Represented the buyer of a mill site located in Taunton, Massachusetts for the development of a medical office, apartments and commercial space. During the development, we negotiated leases with existing industrial tenants, a short-term lease to a movie company to film at the property, cell tower leases and cell tower securitization buyout, and subdivision and sale of portions of the property. We also represented the owner in the bridge loan financing of the property.
