We represent parties in real estate joint ventures, including organizing limited liability companies and partnerships, from two to several investor members and partners for real estate developers, owners, and tenants. We assist in the structure and planning of each entity, as well as draft and negotiate operating agreements, and advise on management, equity returns, distribution and buyout provisions. Moreover, we advise on entity governance during real estate projects.
Represented the co-sponsor, as general partner in a managing member entity and as limited partner investor, in a development of a mixed-use commercial, research and development, laboratory, and ground floor retail space building consisting of approximately 600,000 square feet of gross floor area and a parking garage in Massachusetts. This project included advising on the general partnership structure, the general partner and limited partner entity structure, the real estate holding entity structure, and negotiating associated Delaware limited liability operating agreements.
Represented a restaurant group in the organization of the managing parent limited liability company and its wholly owned subsidiary limited liability companies, structured to operate restaurants in Nantucket, Massachusetts and Palm Beach, Florida.
Represented a joint venture involving two adjacent property owners in the development of combined parcels into a 75-unit new construction building located in the Brighton neighborhood of Boston.
Represented a limited liability company member in a transaction to buy out the other members of a joint venture to build a mix-use condominium development located in the Beacon Hill neighborhood of Boston. The transaction included a mezzanine loan from a foreign lender.
